Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the PrefixIT software-as-a-service platform, web portal, APIs, and related endpoint agent software (collectively, the “Service”) provided by PrefixIT (“we”, “us”, or “our”). By using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Customer”).

Use at your own risk. You acknowledge that use of the Service, including deployment of agents on devices, configuration of monitoring features, and reliance on dashboards and reports, is at your own discretion and responsibility. You are responsible for compliance with applicable laws, employment policies, and contractual obligations to your users and clients.

Limitation of liability. To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Service is limited to the refund of fees actually paid by you to us for the Service in the twelve (12) months preceding the claim, if any, and we have no other liability, whether in contract, tort, or otherwise. We expressly disclaim liability for indirect, incidental, special, consequential, or punitive damages, and for loss of profits, data, goodwill, or business interruption, even if advised of the possibility of such damages.

1. The Service

PrefixIT provides tools for endpoint monitoring, inventory, and related IT operations. Features, limits, and availability may depend on your plan and configuration. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable, or immediately where required for security or legal reasons.

2. Accounts and access

You must provide accurate registration information and safeguard credentials. You are responsible for all activity under your account. You must notify us promptly of unauthorized use. We may suspend access that appears to compromise security or violate these Terms.

3. Customer obligations

The Customer will: (a) obtain any consents and provide any notices required for collection of data from devices and users; (b) use the Service only for lawful purposes; (c) not attempt to probe, scan, or breach our systems or other tenants’ data; (d) not reverse engineer the Service except where mandatory law allows; and (e) comply with export and sanctions laws.

4. Data and privacy

Processing of personal data is described in our Privacy Policy. The Customer remains responsible for the lawfulness of its use cases and for instructions it gives us as processor where applicable.

5. Intellectual property

We retain all rights in the Service, software, branding, and documentation. Subject to these Terms, we grant the Customer a limited, non-exclusive, non-transferable right to use the Service during the subscription term. Feedback you provide may be used by us without obligation.

6. Fees

If you purchase a paid subscription, fees and billing terms are as agreed at checkout or in an order form. Taxes may apply. Failure to pay may result in suspension or termination.

7. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Indemnity

To the extent permitted by law, the Customer will defend and indemnify us against third-party claims arising from the Customer’s use of the Service, data collected through the Customer’s configuration, or breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

9. Term and termination

These Terms remain in effect while you use the Service. We may terminate or suspend access for material breach or legal requirement. Provisions that by nature should survive (including liability limits, disclaimers, and indemnity) will survive termination.

10. Governing law

Unless otherwise agreed in writing, these Terms are governed by the laws applicable to your contracting entity or, in the absence of a separate agreement, the laws of the jurisdiction where PrefixIT operates its primary business, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue, subject to mandatory consumer protections where applicable.

11. Changes to these Terms

We may update these Terms by posting a revised version with a new effective date. Continued use after changes constitutes acceptance where permitted by law; for material changes we will use reasonable efforts to provide notice through the Service or email.
